Terms and Conditions
These Terms and Conditions constitute a legally binding agreement between you and Shan Steep governing your use of our website and services. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
These terms apply to all visitors, users, and clients of our services. If you do not agree with any part of these terms, you must discontinue use of our website and services immediately.

You agree to comply with all applicable local, national, and international laws, regulations, and ordinances when using our services. This includes but is not limited to trade regulations, import/export laws, and business licensing requirements in your jurisdiction.
2.2 Conduct Requirements
You agree to conduct yourself professionally and ethically when engaging with our services. This includes:

- • Respecting the cultural traditions and practices of tea-producing communities
- • Maintaining confidentiality of any proprietary or sensitive information shared
- • Engaging in fair and ethical business practices with producers and partners
2.3 Prohibited Activities
You expressly agree not to engage in the following activities:
- • Using our services for any unlawful, fraudulent, or deceptive purpose
- • Misrepresenting your identity, credentials, or business affiliation
- • Attempting to circumvent our fee structures or service agreements
- • Harassing, threatening, or acting abusively toward our staff or partners
- • Exploiting cultural knowledge or relationships for unethical purposes
2.4 Content Guidelines
Any content you submit, upload, or transmit through our services must not contain material that is defamatory, obscene, threatening, infringing on intellectual property rights, or otherwise unlawful. We reserve the right to remove or refuse any content that violates these guidelines.
3. Indemnification
You agree to indemnify, defend, and hold harmless Shan Steep, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from your use of our services, violation of these terms, infringement of any intellectual property or other rights, or any harmful act toward third parties.

You acknowledge that any contracts, disputes, or issues arising from your relationships with third parties are solely between you and those parties. We are not responsible for the actions, quality of products, or fulfillment of obligations by third parties we connect you with.
6. Disclaimers and Limitations of Liability
6.1 Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- • Warranties of merchantability or fitness for a particular purpose
- • Guarantees of specific sourcing outcomes or business results
- • Warranties regarding uninterrupted, timely, or error-free service
- • Warranties about the accuracy or completeness of information provided
6.2 Limitation of Liability
To the maximum extent permitted by law, Shan Steep shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- • Loss of profits, revenue, data, or business opportunities
- • Business interruption or operational delays
- • Failure to achieve anticipated sourcing results
- • Costs of procurement of substitute services
Our total liability arising from or related to these terms or use of our services shall not exceed the amount you have paid us in the twelve months preceding the claim.
6.3 Regional Circumstances Disclaimer
We operate in regions that may experience political instability, logistical challenges, or other unpredictable circumstances. We are not liable for delays, service interruptions, or inability to fulfill services due to factors beyond our reasonable control, including government actions, civil unrest, natural disasters, or changes in regional accessibility.
7. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, or infrastructure failures. In such events, the affected party will be excused from performance for the duration of the event and will use reasonable efforts to minimize its impact.
8. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Myanmar, without regard to conflict of law principles. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Myanmar.
For international clients, we recognize that additional laws and regulations may apply in your jurisdiction. You are responsible for ensuring compliance with all applicable laws in your country or region.
9. Dispute Resolution
9.1 Informal Resolution
In the event of any dispute, controversy, or claim arising from these terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the dispute.
9.2 Mediation
If the dispute cannot be resolved through negotiation within thirty days, the parties agree to attempt mediation before a mutually agreed-upon mediator. The costs of mediation shall be shared equally between the parties.
9.3 Legal Action
If mediation fails to resolve the dispute, either party may pursue legal remedies through the appropriate courts as specified in the Governing Law section above.
10. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these terms. The remaining provisions shall continue in full force and effect.
11. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Shan Steep regarding the use of our services. These terms supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written.
12. Waiver
Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Shan Steep.
13. Assignment
You may not assign, transfer, or delegate your rights or obligations under these terms without our prior written consent. We reserve the right to assign or transfer our rights and obligations under these terms to any third party, including in connection with a merger, acquisition, or sale of assets.
14. Modification of Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or via email to registered users. Your continued use of our services after such modifications constitutes acceptance of the updated terms. We recommend reviewing these terms periodically to stay informed of any changes.
